Terms of Service Agreement

This Terms of Service Agreement (the "Agreement") is entered into by and between The Mighty Shed, a United Kingdom company, with its principal place of business at The Tubeworks, 48-52 Floodgate Street, Birmingham UK. B5 5SL (the "Company"), and the individual or entity agreeing to these terms (the "Subscriber").

By purchasing a subscription to The Mighty Shed's Future Possible annual subscription service (the "Service"), the Subscriber agrees to be bound by the terms and conditions set forth in this Agreement.

Subscription and Cancellation

The Subscriber agrees to pay the annual subscription fee for access to the Service for a period of one year.The subscription will automatically renew at the end of the one - year term unless the Subscriber cancels before the renewal date.

The Subscriber may cancel their subscription at any time by contacting the Company.Upon cancellation, the Subscriber will be refunded for future full months for which they have already paid in the subscription, not partial or pro - rata current or prior months.The Company reserves the right to deduct any applicable fees or charges from the refund amount.

Data Protection

The Company will comply with all applicable data protection laws, including the General Data Protection Regulation(GDPR) in the United Kingdom, in relation to the Subscriber's personal data. The Company will only use the Subscriber's personal data for the purposes of providing the Service and will not disclose it to any third parties without the Subscriber's consent.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

Changes to the Agreement

The Company reserves the right to make changes to this Agreement at any time.The Subscriber will be notified of any changes and will have the opportunity to review and accept the new terms before they take effect.

Intellectual Property

The Company retains exclusive ownership and all rights to the Service, including but not limited to its design, code, content, and any data generated by the Company within the platform.The Subscriber is granted a non - exclusive, non - transferable, limited license to access and use the Service strictly in accordance with this Agreement.

Subscriber - generated content and data uploaded or created within the platform remain the intellectual property of the Subscriber.However, by using the Service, the Subscriber grants the Company a worldwide, royalty-free license to use, reproduce, display, perform, and adapt such content and data solely for the purpose of operating, providing, and improving the Service.

Warranties and Disclaimers

The Company provides the Service on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non - infringement.The Company does not warrant that the Service will be uninterrupted, error - free, or completely secure.

The Company's liability shall be limited to the maximum extent permitted by law. In no event shall the Company be liable for any indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Service.

Acceptable Use

The Subscriber agrees not to use the Service in any way that is illegal, harmful, or infringes on the rights of others.Prohibited activities include, but are not limited to, engaging in illegal activities, spreading malware, sending spam, and infringing on intellectual property rights.

The Company reserves the right to suspend or terminate the Subscriber's access to the Service for any breach of these acceptable use guidelines without prior notice or liability.

Indemnification

The Subscriber agrees to indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, debt, and expenses(including but not limited to attorney's fees) arising from the Subscriber's use of the Service, violation of any terms of this Agreement, or violation of any rights of a third party.

Payment Terms

Subscription fees are due annually in advance.Late payments may incur additional charges or result in suspension of service.The Company accepts payments through specified payment processing methods.All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and the Subscriber is responsible for payment of all such taxes, levies, or duties.

In case of disputes over payments, the Subscriber must contact the Company within 60 days of the payment in question.Failure to dispute a charge within this timeframe will constitute acceptance of the charge.

Dispute Resolution

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the arbitration rules of the United Kingdom.Before seeking arbitration, the party must first send a written notice of the dispute to the other party, allowing for a 60 - day resolution period.If the dispute is not resolved within 60 days, either party may proceed to arbitration.

By purchasing a subscription to the Service, the Subscriber acknowledges that they have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement.
